By accessing or using the KeyDelta website at keydelta.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you should not use the Site. These Terms constitute a legally binding agreement between you and KeyDelta (“we,” “us,” or “our”).

2. Description of Services

KeyDelta provides operator-led advisory services for CEOs and PE-backed leadership teams. The Site provides information about our services, thought leadership content, case studies, and a means to contact us. The Site itself does not constitute advisory services.

3. Use of the Site

You agree to use the Site only for lawful purposes. You may not:

  • Use the Site in any way that violates applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Site or its systems
  • Use automated tools, bots, or scrapers to access or collect data from the Site without our express written permission
  • Interfere with or disrupt the Site's infrastructure
  • Transmit malicious code, viruses, or any harmful software
  • Impersonate any person or entity

4. Intellectual Property

All content on this Site — including text, graphics, logos, images, articles, frameworks (such as VOOCS), case studies, and software — is the intellectual property of KeyDelta or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the Site for your personal, non-commercial use, provided you do not modify the content and retain all copyright and proprietary notices. Any other use requires our prior written consent.

5. VOOCS Framework

The VOOCS (Vision, Outcomes, Ownership, Cadence, Scale) framework is proprietary to KeyDelta. You may reference VOOCS in conversation or professional contexts with proper attribution to KeyDelta, but you may not commercially reproduce, license, or build derivative products or services based on the framework without our express written permission.

6. Contact Form Submissions

When you submit information through our contact form, you represent that the information provided is accurate and that you have the authority to share it. We will use your submission solely to respond to your inquiry and in accordance with our Privacy Policy.

Any ideas, suggestions, or feedback you provide to us through the Site may be used by KeyDelta without obligation or compensation to you.

7. Disclaimers

No Advisory Relationship. Visiting the Site or contacting us through the Site does not create an advisory, consulting, or professional services relationship. Such relationships are established only through executed engagement agreements.

“As Is” Basis.The Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Results. Case studies, metrics, and testimonials on the Site reflect specific client engagements. Past results do not guarantee similar outcomes for future engagements. Every business situation is unique.

8. Limitation of Liability

To the fullest extent permitted by law, KeyDelta and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to loss of profits, data, or business opportunity, regardless of the theory of liability.

Our total liability for any claim arising from these Terms or your use of the Site shall not exceed the amount you paid to KeyDelta in the twelve months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless KeyDelta, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or violation of these Terms.

10. Third-Party Links

The Site may contain links to third-party websites (such as LinkedIn, X, or Forbes). We are not responsible for the content, privacy practices, or availability of these external sites. Accessing third-party sites is at your own risk.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Fairfax County, Virginia, under the rules of the American Arbitration Association.

12. Modifications

We reserve the right to modify these Terms at any time. Changes are effective when posted to this page with an updated “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
